AHRMA BY-LAW CHANGES APPROVED
Each year a review of the existing AHRMA By-Laws is conducted by the President-Elect and President in consideration of proposed initiatives for the next year’s Board. As a result of this year’s review, the following recommendations have been made – submitted to the AHRMA Executive Committee and approved, submitted to SHRM and approved, and now approved by the membership present at the September 17, 2009 luncheon meeting.
Proposed By-Law Changes (see below for By-Law text):
- Quorum for Executive Committee Meetings from five to seven (Article 8 – Section 8.3)
- Term of office (excluding President, Past President and Past-Elect) from one year to two years (Article 11 – Section 11.3)

ARTICLE 8: BOARD OF DIRECTORS
Section 8.3 – Quorum: The elected officers and the advisory officer shall constitute the Executive Committee. The Executive Officers shall be the governing body of the Association subject to the provisions of this Constitution. Seven members of the Executive Officers present shall constitute a quorum for the transaction of business. The Executive Officers may bring such matters as it deems necessary before the members of the Association at any regular or special meeting.
ARTICLE 11: ELECTIONS
Section 11.3 – Terms of Office: Elected members of the Executive Committee will be appointed for staggered terms of two years excluding the offices of President, Past President and President-Elect. Terms will begin in January and end in December the following year. To achieve staggered terms, the election of Vice President of Annual Conference, Vice President of Programs, Vice President of Career Development, Vice President of Communications will occur in opposite years than election of Vice President of Membership, Vice President of Diversity, Vice President of Marketing and Public Relations, Vice President of Finance and Vice President of Workforce Readiness.
The offices of President, Past President and President-Elect will have a term of one year beginning in January and ending in December.
